		<description>Cedar Fair continues to behave as if it were a privately held family business rather than a publicly held entity. 

Shareholders have called a Special Meeting, January 11, designed to force management and the Board to address the corporate governance issues of separating the CEO and Chairman of the Board functions. Shareholders also direct the company to make dividend payouts a top priority once again.

Cedar Fair&#039;s reaction? Stall and delay. Shareholders had to file a lawsuit to force scheduling of the Special Meeting. The Board has, not surprisingly, recommended against the shareholder proposals. Something about “not believing it is prudent to limit its flexibility with a set policy.”

This from a company which has demonstrated it knows no limits. Cedar Fair now suggests the new direction demanded by shareholders, which has resulted in significant improvements, were management ideas all along.

Word now leaks out the Board may be considering reinstalling Mr. Kinzel as the Chairman of the Board after his retirement in January of 2012. Shareholders are hoping for an early departure--not an extended tour after retirement. Fears abound one of his children may be ensconced as new CEO.

The Shareholders proposals are crafted to “limit the Boards flexibility with a set policy” to prevent such future shenanigans.  Shareholders demand new fresh leadership at Cedar Fair.

Cedar Fair has received top billing at the New York Times DealBook Column and been awarded a grade of F for management misdeeds:

7 After watching and checking all these things we should revise our plan and, when the plan is in its operational stage, we should identify policy options to facilitate land access and agree on strategies.
